Approving the issuance of Taxable Airport Special Obligation Bond Anticipation Notes (Kansas City International Airport Terminal Modernization Project) Series 2019 by The Industrial Development Authority of the City of Kansas City, Missouri in an aggregate principal amount not to exceed $90,000,000.00 to finance a portion of the costs of the Kansas City International Airport Terminal Modernization Project prior to the issuance of bonds to finance such costs; approving and authorizing certain documents and actions in connection with the issuance of such notes; appropriating revenues in the amount of $3,000,000.00 in Fund No. 8300, the Kansas City Airports Fund; and recognizing an accelerated effective date.

Authorizing the City Manager to execute the KCI Airport Terminal Modernization Project Development Agreement, the Developer Pledge Agreement and the Terminal Workforce Enhancement Programs Agreement with Edgemoor Infrastructure and Real Estate II LLC; authorizing the Director of Aviation to execute a term sheet for a new Use and Lease Agreement with the Signatory Airlines; estimating new revenues in the amount of $48,820,000.00 in Fund No. 8560, 2018 Airport Terminal Bond Fund; appropriating that amount to the 2018 Airport Terminal Bond Fund account; declaring the City’s intent to reimburse itself for certain expenditures; and recognizing this ordinance as having an accelerated effective date. 


JOINT AIRPORT AND TRANSPORTATION & INFRASTRUCTURE recommends "HOLD ON AGENDA (2/21/2019)"
Dave Long, Deputy Director of Aviation, provided an update and changes to this ordinance. One change is the budget on the Term Sheet for the Signatory Airlines Use and Lease Agreement for Kansas City International Airport (KCI). The budget in the term sheet is changing from 1.64 billion to 1.5 billion. The other change is the resolution on the baggage handling fees. Mr. Long stated that the change will focus on baggage handling fees, gate fees, apron fees and passage-boarding bridge fees. A 50% discount will be applied to all carriers, regardless of size, for the use of the first gate for the gate fee, apron fee, and passage-boarding bridge fee.This resolution lowered the fees associated with the smaller carriers (as most small carriers only have one gate). This change can be found on page 3 in the draft of the term sheet. Charles Renner, Husch Blackwell Lawfirm, provided a presentation on this ordinance as it is substituted. The substitution of the ordinance includes: adjustments to the Developer's Agreement and the Community Benefits Agreement. Revisions to the Development Agreement include, Design Document Development Timing, GMP Amount, GMP Development Model, Contingencies, and Default for delay of substantial completion and drafting clean-ups. The design document development requires two check in dates and the check in dates have been revised to a 6 month check in and then a 12 month check in. The GMP amount has been reduced to 1.357 Billion. The City and Developer will continually refine the GMP through ongoing design and validation of work. If at any time the GMP exceeds the initial GMP, the City will either issue a change order to raise the GMP or the Developer and City work to revise design and/or reduce scope. The changes in the owner contingencies will reflect in the price amount from 45 million to 41.4 million. Construction contingency will now be 3% plus the first 5 million in Project Contingency in Final GMP. Developer contingency is 3 million. The Default for delay Substantial Completion has liquidated damages. If substantial completion is not done by timeline given a default of liquidated damages will occur 30 days from substantial completion date. The City may recover delay credits of $35,000 per day for every day Substantial Completion is delayed. Galen Beaufort, Law Department, presented information on the Community Benefits Agreement. On behalf of the requests from the FAA and the Airlines the Community Benefits Agreement is now called the Terminal Workforce Enhancement Program. This change was made to clarify the connection between the programs and their goal of enhancing the available Project workforce. There will be no changes to the programs itself. This ordinance authorizes the City Manager to execute the KCI Airport Terminal Modernization Project Development Agreement, the Developer Pledge Agreement and the Terminal Workforce Enhancement Programs Agreement with Edgemoor Infrastructure and Real Estate II LLC. This ordinance authorizes the Director of Aviation to execute a term sheet for a new Use and Lease Agreement with the Signatory Airlines, estimating new revenues in the amount of $48,820,000.00 in Fund No. 8560, 2018 Airport Terminal Bond Fund. It will appropriate that amount to the 2018 Airport Terminal Bond Fund account, declaring the City’s intent to reimburse itself for certain expenditures. Authorizing and directing the incurrence of a Senior Appropriation Obligation in the principal amount not to exceed $2,000,000,000.00 in order to evidence the agreement of the City of Kansas City, Missouri (the “City”) to make certain debt service and additional payments to The Industrial Development Authority of the City of Kansas City, Missouri (the “Authority”) in connection with the Authority’s issuance of bonds the proceeds of which will be made available to the City to finance a portion of the costs of the construction of a new passenger terminal at Kansas City International Airport and related purposes as set forth herein; authorizing certain actions and documents and prescribing other matters relating thereto; estimating and appropriating revenues in the amount of $10,000.00 in Fund No. 8560, the 2019 Airport Terminal Bond Fund; and recognizing an accelerated effective date.
