ORDINANCE NO. 940068

 

Approving the assignment of certain development rights to RFS Partnership, L.P.

 

WHEREAS, the City Council did on November 20, 1980, pass Ordinance No. 52129, which approved the application Development Plan submitted by Union Hill Redevelopment Corporation for that area generally located east of Main Street and north of 31st Street and authorized a contract between the City and Union Hill Redevelopment Corporation; and

 

WHEREAS, the City Council did on October 20, 1983, pass Ordinance No. 55680, which approved a two year extension for the acquisition, demolition and construction schedule of the original Development Plan and authorized a first supplemental contract; and

 

WHEREAS, the City Council did on November 21, 1985, pass Ordinance No. 58712, which approved the Second Amended Development Plan of Union Hill Redevelopment Corporation and authorized a second supplemental contract; and

 

WHEREAS, the City Council did on May 1, 1987, pass Ordinance No. 60879, which approved the Third Amended Development Plan of Union Hill Redevelopment Corporation and authorized a third supplemental contract; and

 

WHEREAS, Union Hill Redevelopment Corporation did on June 24, 1987, enter into an Assignment and Release Agreement with Union Hill Inn Associates, for that portion of the redevelopment project beginning at the northeast corner of 30th and Main Street and more specifically described as Lot 1, Union Hill Plaza in Kansas City, Jackson County, Missouri (hereinafter referred to as "Residence Inn Tract"); and

 

WHEREAS, the City Council of Kansas City did on August 6, 1987, pass Ordinance No. 61307, approving the assignment and release between Union Hill Redevelopment Corporation and Union Hill Inn Associates; and

 

WHEREAS, Union Hill Associates assigned all of its interests and rights in the Residence Inn Tract to Massachusetts Mutual Life Insurance Company and such assignment was approved by Ordinance No. 65181; and

 

WHEREAS, Massachusetts Mutual Life Insurance Company now desires to assign its rights and interests to RFS Partnership, L.P.; and

 

WHEREAS, City desires to accept the assignment and to release the Massachusetts Mutual Life Insurance Company of all its rights and obligations under the Development Plan, as amended, and the Contract, as amended, of that portion of the Residence Inn Tract; NOW, THEREFORE,

 

BE IT ORDAINED BY THE COUNCIL OF KANSAS CITY:

 

Section 1. That the Assignment and Release Agreement between Massachusetts Mutual Life Insurance Company and RFS Partnership, L.P., a copy of which is attached hereto as Exhibit "A" and incorporated herein by reference, is accepted and approved.

 

Section 2. That the Massachusetts Mutual Life Insurance Company is hereby fully released of all its rights, duties and obligations incurred under the Development Plan, as amended, and the Contract, as amended, for that portion of the Union Hill Redevelopment project known as the Residence Inn Tract.
