RESOLUTION NO. 910470

 

Approving the use and public distribution of a Preliminary Official Statement in connection with the sale by Kansas City Municipal Assistance Corporation of approximately $130,000,000.00 principal amount of Leasehold Improvement Revenue Bonds, Series 1991B (H. Roe Bartle Convention Center Project); and authorizing the execution and delivery of a definitive Official Statement relating thereto.

WHEREAS, pursuant to proposals received June 15, 1990, the Board of Directors of Kansas City Municipal Assistance Corporation ("KCMAC") selected the firms of Goldman, Sachs & Co., B.C. Christopher Securities Co., George K. Baum & Company, Grigsby Brandford Powell, Inc., Prudential-Bache Capital Funding, Stern Brothers & Co. and Zahner and Company, as underwriters (the "Underwriters") for the bonds to provide funding for the expansion of the H. Roe Bartle Convention Center; and

 

WHEREAS, KCMAC has heretofore issued its $48,536,506.00 principal amount Leasehold Refunding and Improvement Revenue Bonds, Series 1990B (H. Roe Bartle Convention Center Project) to provide funds for such purpose and to refund certain outstanding bonds providing financing for the Convention Center; and

 

WHEREAS, it has been determined by KCMAC and the Underwriters that the second series of bonds shall consist of approximately $130,000,000.00 principal amount of bonds designated the "Leasehold Improvement Revenue Bonds, Series 1991B" (H. Roe Bartle Convention Center Project) (the "Series 1991B Bonds"); and

 

WHEREAS, in connection with the sale of the Series 1991B Bonds, KCMAC proposes to use and publicly distribute a Preliminary Official Statement, a copy of which is attached hereto; NOW, THEREFORE,

 

BE IT RESOLVED BY THE COUNCIL OF KANSAS CITY:

 

Section 1. The Council hereby authorizes and approves the Preliminary Official Statement in substantially the form attached hereto as Exhibit A, and authorizes the preparation of a final Official Statement by amending, supplementing and completing the Preliminary Official Statement, and authorized the execution of the final Official Statement by the Director of Finance with such changes and additions thereto as the Director of Finance shall deem necessary or appropriate, the signature of the Director of Finance thereon being conclusive evidence of his approval and the Council's approval thereof. The Council hereby consents to the use and public distribution by the Underwriters of the Preliminary Official Statement and the final Official Statement in connection with the offering for sale of the Series 1991B Bonds.

 

Section 2. For the purpose of enabling the Underwriters to comply with the requirements of Rule 15c2-12(b)(1) of the Securities and Exchange Commission, the City hereby deems the information regarding the City contained in the Preliminary Official Statement to be "final" as of its date, except for the omission of such information as is permitted by Rule 15c2-12(b)(1), and the Director of Finance is hereby authorized, if requested, to provide the Underwriters a letter or certification to such effect and to take such other actions or execute such other documents as the Director of Finance in his reasonable judgment deems necessary to enable the Underwriters to comply with the requirement of such Rule.
