ORDINANCE NO. 170389

 

Authorizing the City Manager to execute a Memorandum of Understanding with Terminal Developer, LLC and Burns & McDonnell Engineering Company, Inc. for a terminal modernization project at the Kansas City International Airport; and recognizing this ordinance as having an accelerated effective date pursuant to Section 503(a)(3)(D) of the Charter.

WHEREAS, because of the aging of the current terminal and appurtenant facilities at Kansas City International Airport (“KCI”), and the importance of improving the functionality of KCI for the airlines, airline passengers and general public who use KCI, the Council recognizes that there is a need to replace the existing terminals and their appurtenant facilities with a modernized terminal that will better serve airline passengers, the airlines and the general public; and

 

WHEREAS, the Council recognizes that the City does not currently have the capability on its own to finance the costs of design and construction of the needed terminal modernization without an authorizing vote by the electors to issue bonds; and

 

WHEREAS, Terminal Developer, LLC and Burns and McDonnell Engineering Company, Inc. have submitted to the City a proposal by which Terminal Developer, LLC would identify private financing for the costs of design and construction of a modernized terminal and appurtenant facilities and Burns and McDonnell Engineering Company, Inc. would then design and construct the modernized terminal and appurtenant facilities; and

 

WHEREAS, Section 3-35(b)(5), Code of Ordinances, provides that if the Council finds that it is “in the best interests of the city”, the Council may waive contract solicitation and award provisions otherwise set out in Code of Ordinances; and

WHEREAS, the Council recognizes that the terms of the attached Memorandum of Understanding provide that each of the “Transaction Documents” needed to implement a terminal modernization project (e.g., the development agreement, the lease, the sublease, and a new use agreement with the airlines) would be brought to the Council for its consideration and approval; NOW, THEREFORE,

 

BE IT ORDAINED BY THE COUNCIL OF KANSAS CITY:

 

Section 1. That the City Manager is hereby authorized to execute a Memorandum of Understanding with Terminal Developer, LLC and Burns & McDonnell Engineering Company, Inc. in substantial form and substance to that attached hereto as Exhibit A.

 

Section 2. That the City Council hereby determines that due to the aging of the current terminal and appurtenant facilities at Kansas City International Airport and the importance of improving the functionality of KCI for the airlines, airline passengers and general public who use KCI and the City’s limited capability to finance the costs of design and construction of the needed terminal modernization on its own, it is in the best interests of the City to sole source the development agreement, and the lease and sublease with the developer related to the KCI terminal modernization project proposed in the attached Memorandum of Understanding.

 

Section 3. That this ordinance, because it relates to a contract relating to the design and construction of a public improvement, is hereby recognized as having an accelerated effective date pursuant to Section 503(a)(3)(D) of the Charter.
